Nomination and Election of Directors
In 2023, there are two three-year Director terms open for election to the Board of Directors. The following are the biographical sketches for the two nominees.
Philip Bauer
Board Director
Mr. Bauer is General Manager at CL&D Digital and Corporate Controller of CL&D, a manufacturer in Oconomowoc, WI. Previously, Mr. Bauer served as Director of Finance and Operations at Galland Henning Nopak, a manufacturer located in Franklin, WI. He has 20 years of accounting and finance experience. Outside of accounting and finance, he has also been responsible for operations, supply chain, human resources, information technology, benefits, risk management and facilities management.
Mr. Bauer received his bachelor’s degree in business administration from the University of Wisconsin-Green Bay and holds a master’s in business administration from Regis University. He is also a Certified Public Accountant.
David Rank
Board Director Candidate
Mr. Rank is a new candidate member for Guardian Credit Union’s Board of Directors. He and his wife have been members of Guardian Credit Union since 1990 (33 years). When he was approached to consider a role on the board, he considered it a privilege to serve, if elected. He is interested in the continuation and growth of financial services that help members make their hard-earned dollars go further in the unique and personal way that credit unions can provide, and to support GCU in being a quality employer for many years to come.
Mr. Rank’s professional background is in the areas of product development, manufacturing, engineering consulting, project management and digital marketing. He has a strong artistic and creative side that he applies in his technical and leadership work. He was Harley-Davidson’s Softail Platform Director for the majority of his 19 years with Harley (H-D). Prior to H-D, he worked for General Motors in an automotive assembly plant and for a small, privately owned medical device manufacturer. After H-D, he went the entrepreneurial route and owned and operated a successful digital marketing agency for 10 years until he sold it to his business partner. Now, Mr. Rank is essentially retired and working on a number of service projects. Mr. Rank has a Bachelor of Science degree in Mechanical Engineering (BSME) from the University of Kansas (KU) and a Master of Science in New Product Management (MSNP) from the Milwaukee School of Engineering (MSOE). Mr. Rank is a registered “Professional Engineer” with the state of Wisconsin and holds a number of patents. He has international experience and speaks several languages.
NOTICE TO MEMBERS
You are hereby advised of your right under Article V, Section 3 of the Credit Union’s bylaws to submit to the Chairperson on or before forty (40) days prior to the date of the annual meeting, a petition requesting your nomination as a nominee to the Credit Union’s Board of Directors. Your petition must be signed by at least ten (10) members eligible to vote at meetings of the members of the Credit Union. Petitioners must meet the minimum qualifications as outlined in Article V, Section 1 of the Bylaws and comply with the nomination process, including completing any required forms.
